Terms of Supply & Commercial Policies

Standards governing orders, batch certifications, sample kit evaluation, and institutional supply agreements across India.

1. Commercial Scope & Binding Nature

These Terms of Supply govern all commercial quotations, sample deliveries, sales contracts, and recurring supply dispatches executed by KPN Healthcare Private Limited ("Seller") with diagnostic chains, hospital networks, pathology centers, and authorized trade distributors ("Buyer"). Placing a Purchase Order (PO) or requesting sample dispatch constitutes acceptance of these terms.

2. Quality Specifications & Batch Release

All blood collection tubes manufactured at our Vadodara manufacturing plant conform to stringent clinical quality guidelines:

  • Additive Precision: Micro-spray titration within ±10% of stated pharmacopeial concentration (EDTA K2/K3, Sodium Citrate 3.2% 1:9, Sodium Citrate 3.8% 1:4 ESR, Heparin, Fluoride).
  • Draw Calibration: Negative vacuum pressure calibrated to ensure draw tolerance within ±10% at standard ambient pressure (101.3 kPa).
  • Certification: Every commercial carton is accompanied by a formal Batch Certificate of Analysis (CoA) verifying sterility, additive purity, and vacuum hold.

3. Clinical Sample Evaluation Policy

Sample evaluation kits are provided complimentary to qualified medical institutions, registered pathology laboratories, and prospective distributors for technical validation on automated analyzers. Evaluation sample packs are marked "CLINICAL EVALUATION SAMPLE - NOT FOR RESALE".

4. Order Fulfillment & Delivery Schedule

  • Standard Turnaround: Stock orders dispatch within 24 to 48 hours from our factory warehouse in Vadodara, Gujarat.
  • Emergency Buffer Reserves: Institutional hospital clients holding annual rate contracts benefit from dedicated emergency reserve stocks maintained for priority same-day dispatch.
  • Transit Risk: All dispatches are packaged in heavy-duty double-wall corrugated cartons designed to withstand transport vibration and prevent tube breakage.

5. Inspection, Warranty & Claims

The Buyer must inspect shipments upon arrival. In the rare event of transit damage, batch non-conformance, or seal compromise:

  • Claims must be reported in writing within 7 business days of delivery accompanied by batch lot numbers and photographs.
  • Verified defective goods will be replaced promptly with fresh factory lots at no additional cost to the Buyer.
  • Our shelf-life warranty remains active for 18 to 24 months from the date of manufacture when stored under standard temperature parameters (4°C to 25°C).

6. Governing Law & Jurisdiction

All commercial transactions, supply agreements, and legal interpretations are governed by the laws of India. Any unresolved disputes arising from supply agreements shall be subject to the exclusive jurisdiction of the competent courts in Vadodara, Gujarat.
